1. Agreement to Terms
By accessing or using my website, products, or services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use my services.

I provide services as described on my website or in any separate service agreement, proposal, or statement of work agreed upon between you and me. The exact scope, deliverables, timelines, and fees for any engagement will be outlined in a written agreement or invoice.
2.2 Changes to Services
I reserve the right to modify, suspend, or discontinue any aspect of my services at any time, with reasonable notice where possible. I will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
2.3 Service Availability
I strive to provide consistent and reliable services, but I do not guarantee uninterrupted or error-free availability. Scheduled maintenance or circumstances beyond my control may occasionally affect service availability.
3. Fees and Payment
3.1 Pricing
All fees for my services will be clearly communicated prior to the commencement of any engagement, either via a proposal, invoice, or written agreement. All prices are stated in U.S. Dollars (USD) unless otherwise specified.
3.2 Payment Terms
Payment is due as specified in the applicable invoice or agreement. Unless otherwise agreed in writing:
Invoices are due within 14 days of the invoice date
A deposit may be required before work begins
Late payments may incur a late fee of 1.5% per month on the outstanding balance
3.3 Non-Payment
I reserve the right to suspend or terminate services if payment is not received by the due date. I may also pursue any legal remedies available to recover outstanding amounts, including collection costs and reasonable attorney's fees.
3.4 Refunds
Refunds are handled on a case-by-case basis and at my sole discretion. Unless otherwise stated in a separate agreement, deposits and payments made for completed work are generally non-refundable.
3.5 Taxes
You are responsible for any applicable taxes, duties, or levies arising from your use of my services, except for taxes based on my income.
4. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information necessary for me to perform my services
Review and respond to my communications, drafts, or deliverables within agreed timeframes
Obtain all necessary rights, permissions, and licenses for any materials you provide to me
Comply with all applicable laws and regulations in connection with your use of my services
Not use my services for any unlawful, fraudulent, or harmful purpose
Delays caused by your failure to fulfill these responsibilities may affect project timelines and deliverables, for which I shall not be held liable.
5. Intellectual Property
5.1 My Materials
All pre-existing intellectual property, tools, templates, methodologies, and proprietary content that I bring to an engagement remain my exclusive property. Nothing in these Terms transfers ownership of my pre-existing intellectual property to you.
5.2 Deliverables
Unless otherwise agreed in a separate written agreement, upon receipt of full payment, I grant you a non-exclusive, non-transferable license to use the deliverables I create for you for your intended business purposes.
5.3 Your Materials
You retain all ownership rights to materials, data, and content you provide to me. By providing such materials, you grant me a limited license to use them solely for the purpose of delivering my services to you.
5.4 Portfolio Rights
Unless you request otherwise in writing, I reserve the right to reference your name and project in my portfolio, case studies, or marketing materials, without disclosing any confidential information.
6. Confidentiality
I agree to keep confidential any non-public information you share with me in the course of our engagement and to use it solely for the purpose of providing my services. Likewise, you agree to keep confidential any proprietary methods, pricing, or business information I share with you.
This obligation does not apply to information that:
Is or becomes publicly available through no fault of either party
Was already known to the receiving party prior to disclosure
Is independently developed without reference to the confidential information
Is required to be disclosed by law or legal process
7. Limitation of Liability
To the fullest extent permitted by applicable law:
My total liability to you for any claim arising out of or relating to these Terms or my services shall not exceed the total fees paid by you to me in the three (3) months preceding the claim
I shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity
I make no guarantees regarding specific outcomes, results, or performance from the use of my services
8. Disclaimer of Warranties
My services are provided on an "as is" and "as available" basis. I make no representations or warranties of any kind, express or implied, including but not limited to:
Warranties of merchantability or fitness for a particular purpose
Guarantees that my services will meet your specific requirements
Warranties that results obtained from my services will be accurate or reliable
9. Indemnification
You agree to indemnify, defend, and hold harmless Heidi Bauer LLC and any of my affiliates, contractors, or representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
Your use of my services
Your violation of these Terms
Your infringement of any third-party rights
Any materials or content you provide to me
10. Term and Termination
10.1 Term
These Terms remain in effect for as long as you use my services or until terminated by either party.
10.2 Termination by You
You may terminate a service engagement at any time by providing written notice. You remain responsible for payment of all fees for work completed or in progress up to the date of termination.
10.3 Termination by Me
I reserve the right to terminate or suspend my services at any time if:
You breach any provision of these Terms and fail to remedy the breach within 7 days of written notice
You engage in conduct that I reasonably determine to be harmful, unlawful, or unethical
You fail to make payment as agreed
10.4 Effect of Termination
Upon termination, any outstanding fees become immediately due. Provisions that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) shall continue to apply.
11. Dispute Resolution
11.1 Good Faith Negotiation
In the event of any dispute arising out of or relating to these Terms or my services, both parties agree to first attempt to resolve the dispute through good faith negotiation.
11.2 Mediation
If good faith negotiation fails, the parties agree to submit the dispute to non-binding mediation before pursuing any other legal remedy.
11.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
11.4 Jurisdiction
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and both parties hereby consent to the personal jurisdiction of such courts.
12. Force Majeure
I shall not be liable for any delay or failure to perform my obligations under these Terms due to circumstances beyond my reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, internet failures, or other events of force majeure.
13. Independent Contractor
I am an independent contractor and not an employee, partner, or agent of you or your organization. Nothing in these Terms creates any employment, joint venture, or agency relationship between us.
14. Entire Agreement
These Terms, together with any applicable service agreements, proposals, or invoices, constitute the entire agreement between you and me regarding the subject matter herein and supersede all prior agreements, understandings, or representations, whether written or oral.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
16. Waiver
My failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by me to be effective.
17. Amendments
I reserve the right to update these Terms at any time. I will notify you of material changes by posting the updated Terms on my website or by direct communication. Your continued use of my services after such notice constitutes your acceptance of the updated Terms.
